Terms of Use & End-User License Agreement

These Terms of Use and End-User License Agreement (the “Terms”) are a legal agreement between you (“you” or “User”) and Construct Enterprises LLC (“Construct,” “we,” “us,” or “our”) governing your access to and use of the MVR-WorkZ web application and any related pages, tools, and services (together, the “Service”). MVR-WorkZ is a free, browser-based viewer and editor for MVR (“My Virtual Rig”) lighting-scene files and GDTF fixture profiles.

Please read carefully. By clicking “I Agree,” loading a file, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

1. License grant

Subject to your continued compliance with these Terms, Construct grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service for your own lawful lighting-design, pre-visualization, and production purposes, including commercial use in the ordinary course of your work. The Service is licensed to you, not sold. Construct reserves all rights not expressly granted here.

You retain all rights in the MVR, GDTF, and other files you open, create, or edit with the Service (“Your Content”). MVR-WorkZ processes Your Content locally in your browser; your scene files are not uploaded to or stored on our servers (see the Privacy Policy). You are solely responsible for Your Content and for keeping your own backups. Because files are processed and saved on your device, always keep an independent backup of any production file before editing it.

4. Third-party services, standards, and trademarks

The Service can connect to GDTF Share (gdtf-share.com) to search and download fixture profiles using credentials you supply. Your use of GDTF Share is governed by that service’s own terms and privacy policy. Construct is not affiliated with, endorsed by, or responsible for GDTF Share, its content, or its availability.

“MVR,” “My Virtual Rig,” “GDTF,” “General Device Type Format,” “Vectorworks,” and all other product names, standards, and marks referenced by the Service are the property of their respective owners and are used for identification and interoperability only. Construct is an independent developer and is not affiliated with, sponsored by, or endorsed by any of those owners or standards bodies.

5. No professional, safety, or engineering advice

Safety notice. MVR-WorkZ is a visualization and file-editing convenience tool. It is not an engineering, structural, rigging, electrical, or safety-certification tool, and its output must not be relied upon for any life-safety, load, weight, power, structural, or code-compliance decision. Patch data, addresses, positions, weights, and profiles shown by the Service may be incomplete or inaccurate. Always independently verify all data against the manufacturer’s documentation and have all rigging, electrical, and structural work reviewed and signed off by a qualified professional. You assume all risk arising from any reliance on the Service.

6. Intellectual property

The Service, including its software, source code, design, look and feel, the “MVR-WorkZ” and “Construct” names and logos, and all related intellectual property, is owned by Construct and is protected by copyright and other laws. Except for the limited license in Section 1, nothing in these Terms transfers any ownership or intellectual-property right to you.

The Service includes third-party open-source software, used under and subject to their respective licenses:

These components remain the property of their respective authors and are provided under their own license terms, which continue to apply to those components.

8. Availability and changes

The Service is provided free of charge. We may modify, suspend, limit, or discontinue the Service (or any feature of it) at any time, with or without notice, and we may update these Terms from time to time. If we make a material change to these Terms, we will update the effective date above and may ask you to accept the updated Terms. Your continued use of the Service after an update constitutes acceptance of the updated Terms.

You agree to indemnify, defend, and hold harmless Construct and its contributors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with your use of the Service, Your Content, or your breach of these Terms or of any applicable law or third-party right.

These Terms remain in effect while you use the Service. Your license terminates automatically if you breach these Terms, and we may suspend or terminate your access at any time. Sections 3–13 survive termination.

13. Governing law and general terms

These Terms are governed by the laws of the State of Arizona, United States, without regard to its conflict-of-laws rules, and you and Construct submit to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona, to the extent permitted by applicable law and without limiting any mandatory consumer protections available to you in your place of residence.

If any provision of these Terms is held unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it. These Terms, together with the Privacy Policy, are the entire agreement between you and Construct regarding the Service.
